Job Description

MassMutual is seeking a highly skilled and motivated Corporate Lawyer / Legal Counsel to join our dynamic legal department in Springfield, MA. This role is critical in providing comprehensive legal advice and support across various corporate functions, ensuring compliance with all applicable laws and regulations. The ideal candidate will have significant experience in corporate law, excellent analytical abilities, and a proven track record of managing complex legal matters within a financial services or similarly regulated industry. Key Responsibilities

  • Provide expert legal advice and counsel on a wide range of corporate matters, including corporate governance, regulatory compliance, mergers and acquisitions, and general commercial contracts.
  • Draft, review, and negotiate various legal documents, agreements, and policies to protect the company's interests and ensure regulatory adherence.
  • Conduct thorough legal research and analysis, providing clear and concise recommendations to senior management and business units.
  • Manage and mitigate legal risks associated with business operations, new product development, and strategic initiatives.
  • Collaborate with internal stakeholders, including compliance, risk management, and business development teams, to achieve corporate objectives.
  • Stay abreast of changes in relevant laws and regulations, advising the company on potential impacts and necessary adjustments.
  • Represent the company in discussions with external counsel, regulatory bodies, and other third parties as required.

Required Skills

  • Juris Doctor (JD) degree from an accredited law school
  • Active license to practice law in at least one U.S. state (Massachusetts Bar admission preferred or ability to obtain within a reasonable timeframe)
  • Minimum of 4 years of post-qualification experience in corporate law, either in-house or at a reputable law firm, with a focus on financial services or a related regulated industry
  • Strong understanding of corporate governance principles and securities laws
  • Excellent drafting, negotiation, and communication skills
  • Proven ability to manage multiple complex legal projects simultaneously and meet deadlines
  • Exceptional analytical and problem-solving capabilities

Preferred Qualifications

  • Experience with international legal frameworks and cross-border transactions
  • Prior experience working within a large financial institution or insurance company
  • Familiarity with data privacy laws (e.g., GDPR, CCPA) and cybersecurity regulations
  • Demonstrated experience advising on M&A activities and corporate restructuring
