Job Description
We are seeking a highly skilled and motivated Corporate Lawyer / Legal Counsel to join our dynamic legal team in Dartmouth, Nova Scotia. This is a unique opportunity for a talented legal professional, including those from international backgrounds, as we are prepared to provide Certificate of Sponsorship (CoS) to eligible candidates. The successful candidate will play a critical role in providing comprehensive legal advice and support on a wide range of corporate law matters, contributing directly to our clients’ success and our firm’s strategic objectives. You will manage complex legal issues, advise on mergers and acquisitions, corporate governance, commercial contracts, and regulatory compliance.
Key Responsibilities
- Provide expert legal advice on corporate law matters, including M&A, reorganizations, private equity, and venture capital transactions.
- Draft, review, and negotiate a variety of commercial agreements, including shareholder agreements, partnership agreements, and service contracts.
- Advise clients on corporate governance, regulatory compliance, and general business law issues.
- Conduct thorough legal research and due diligence for corporate transactions.
- Manage client relationships and contribute to business development initiatives.
- Collaborate with other legal teams and external counsel as required.
- Stay abreast of changes in corporate law and industry regulations.
Required Skills
- Juris Doctor (JD) or Bachelor of Laws (LLB) degree from an accredited institution.
- Membership in good standing with a provincial law society in Canada (or eligibility for admission and willingness to pursue).
- Minimum of 3 years of post-call experience in corporate law, preferably within a law firm or in-house legal department.
- Strong understanding of Canadian corporate and commercial law principles.
- Excellent analytical, problem-solving, and decision-making abilities.
- Superior written and verbal communication skills, with the ability to articulate complex legal concepts clearly.
- Proven ability to manage multiple priorities and work effectively under pressure.
- Proficiency in legal research tools and standard office software.
Preferred Qualifications
- Experience with cross-border transactions.
- Fluency in French or another language relevant to global business.
- Post-graduate degree in law (e.g., LL.M.).
- Experience working with clients in the technology, energy, or natural resources sectors.
