Job Description
We are seeking a dedicated and experienced Corporate Lawyer / Legal Counsel to join our dynamic in-house legal team in Regina. This role offers an exceptional opportunity to provide comprehensive legal advice and support across various business units within RBC, specifically focusing on corporate law matters. You will be instrumental in ensuring legal compliance, mitigating risks, and contributing to the strategic objectives of the bank. Key Responsibilities
- Provide expert legal advice and support on a wide range of corporate and commercial law matters, including M&A, corporate governance, regulatory compliance, and general business operations.
- Draft, review, and negotiate complex commercial agreements, contracts, and other legal documents.
- Manage and advise on corporate secretarial functions, including board resolutions, minutes, and corporate filings.
- Ensure the company's activities comply with all relevant provincial and federal laws, regulations, and internal policies.
- Identify and assess legal risks, providing proactive strategies to mitigate potential issues.
- Collaborate effectively with internal stakeholders, external counsel, and regulatory bodies.
- Conduct legal research and analysis, preparing clear and concise reports and recommendations.
- Support the ongoing development and implementation of legal frameworks and best practices within the organization.
Required Skills
- Juris Doctor (JD) or Bachelor of Laws (LLB) degree from an accredited institution.
- Active membership in good standing with a provincial bar in Canada (or eligibility for inter-provincial transfer/licensure).
- Minimum of 4 years of post-qualification experience in corporate law, gained either in-house or at a reputable law firm.
- Strong understanding of Canadian corporate and commercial law, including financial services regulations.
- Excellent analytical, communication (written and verbal), and negotiation skills.
- Ability to work independently and as part of a team in a fast-paced corporate environment.
- Demonstrated ability to manage multiple priorities and meet tight deadlines.
Preferred Qualifications
- Experience within the financial services industry.
- Familiarity with cross-border transactions and international legal frameworks.
- Experience with regulatory compliance in banking.
- Proficiency in French is an asset.
